Terms of Service
These terms govern access to and use of the marketplace operated by [Legal entity — to be registered]. By creating an account you accept them, together with every clause you individually acknowledged during registration.
1. What the service is
The service is a technical intermediary. It lets verified people publish a licensing profile, lets verified buyers discover those profiles and send structured offers, relays negotiation between them, generates a licence document when terms are agreed, collects payment and records the transaction.
The service is not a talent agency, casting agency, model agency, employer, staffing business, production company, publisher, broadcaster, broker or law firm. It exercises no editorial control over what a buyer produces and takes no position on the artistic or commercial merit of any profile or offer.
2. The platform is not a party to your licence
Each licence is concluded between the person granting rights (the licensor) and the buyer receiving them (the licensee). The platform generates the document and records it, but is not a contracting party, guarantor, surety or joint obligor.
The platform does not warrant that a buyer will pay, that a person will perform, that either party's declarations are true, or that licensed material will be used within scope after delivery.
3. Eligibility
- —You must be at least 18 years old, or the age of majority where you live if that is higher.
- —You must complete identity verification before publishing a profile or sending an offer.
- —You must not register on behalf of another person, or upload material depicting anyone other than yourself.
- —You must not be subject to sanctions that would make provision of this service unlawful.
4. Your own law is your own responsibility
Personality rights, image rights, voice rights, publicity rights, biometric data rules and the rules governing the commercial use of a person's likeness differ substantially between countries, and within the United States between states. Some jurisdictions require formalities the platform does not provide.
You confirmed at registration that you have satisfied yourself that your participation is lawful where you live and where you hold citizenship. That responsibility remains yours. Where local law requires a permit, registration, notarisation or any other formality, obtaining it is your responsibility.
5. Scope is the contract
Every offer must declare a purpose category, a written description of intended use, a brand or production, territories, distribution platforms, a term, the rights requested, and a price. Every profile declares the categories, territories, platforms, maximum term and minimum price the person is available for.
A licence is only ever as wide as the narrower of those two declarations. Anything not expressly granted is withheld. Use outside recorded scope is a breach of the licence and may separately infringe personality, publicity or data protection rights.
6. Transacting on the platform
All discovery, negotiation, agreement and payment relating to a counterparty met here must take place here. You accepted a no-circumvention covenant at registration. It runs for the life of your account and for twelve months after your last interaction with that counterparty.
Breach may result in immediate suspension, forfeiture of undistributed balances, and liquidated damages equal to the greater of USD 500 or twice the value of the circumvented transaction. Contact details and external links are removed from messages automatically.
7. Fees
The platform charges a commission to the person on the licence value, and a service fee to the buyer, at the rates published on the Pricing page and shown in full before either party commits. Payment is collected by a Merchant of Record, which is the seller of record for tax purposes on the buyer-facing transaction.
Amounts owed to a person are held for a clearance period after activation before release, to cover chargeback and dispute risk.
8. Suspension and termination
- —We may suspend or close an account for breach of these terms, the Acceptable Use Policy or the no-circumvention covenant.
- —We may remove material that fails authenticity review or that we reasonably believe depicts someone other than the uploader.
- —You may close your account at any time. Closure stops new offers and removes your profile from discovery. It does not retroactively cancel licences already concluded and paid for.
9. Liability
To the maximum extent permitted by law, the platform's aggregate liability to any user in respect of any claim is limited to the total commission and fees it actually received from that user in the twelve months preceding the claim. The platform is not liable for indirect, consequential, reputational or moral damage arising from a counterparty's conduct.
Nothing in these terms excludes liability that cannot lawfully be excluded, including liability for fraud, for death or personal injury caused by negligence, or under a mandatory consumer-protection rule of your home country.
10. Governing law and disputes
These terms are governed by the law of the seat of [Legal entity — to be registered], without prejudice to mandatory protections available to consumers in their country of habitual residence. Disputes should first be raised through the in-platform dispute process.
11. Changes
We may change these terms. Material changes affecting the scope of consent will require re-acceptance before you can continue to transact. Licences already concluded are governed by the terms in force when they were concluded.
